Common Pitfalls in Contract Negotiation and How to Avoid Them
I remember preparing for what seemed like a straightforward contract negotiation. We had done our research, agreed on a target price and felt confident walking into the meeting.
But as the conversation progressed, it became clear that we had focused almost entirely on price and overlooked other critical details.
Timelines for deliverables, service levels and performance expectations and IP rights clauses hadn't been discussed thoroughly.
What looked like a great deal at first soon revealed gaps that could have caused major challenges later.
That experience taught me an important lesson: successful contract negotiation is about much more than getting the lowest price.

Since then, I've learned to avoid some common pitfalls such as
● Rushing into negotiations without proper preparation
● Failing to understand the supplier's priorities
● Focusing only on price, overlooking other contract terms
● Neglecting to involve key stakeholders
The best negotiations happen when both parties come prepared, communicate openly and focus on creating long-term value rather than short-term wins.
Asking the right questions, clarifying expectations and paying attention to every clause can make the difference between a contract that creates problems and one that builds a strong partnership.

In procurement, a successful negotiation isn't measured by who ‘won’ the conversation, it's measured by the value the agreement delivers over time.
So, the next time you sit at the negotiation table, ask yourself: Are you negotiating for the lowest price, or are you negotiating for the best long-term outcome?
